These Terms of Use ("Terms") govern your access to and use of the PDF Flip website, software, and related services (collectively, the "Service"). By creating an account, uploading content, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, you must not use the Service. Our Privacy Policy explains how we collect and use personal information and is incorporated into these Terms by reference where applicable.
You must be old enough to enter a binding contract where you live (typically at least 18 years of age, or the age of majority in your jurisdiction) to use the Service on your own behalf. If you are not, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
PDF Flip provides online tools to convert documents (including PDF and other supported formats) into flipbook-style publications, including hosting, embedding, sharing, and related features as described on our website. The Service may include viewer technology, APIs, sample content, documentation, and integrations. We may add, change, suspend, or discontinue features or supported formats to improve security, performance, or compliance; where a change materially reduces paid functionality you rely on, we will use reasonable efforts to provide notice when practicable.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it up to date. You must notify us promptly at support@pdf-flip.com if you suspect unauthorized access or a security incident. We may suspend access if we reasonably believe your account is compromised or being used in violation of these Terms.
You agree to use the Service only in compliance with applicable laws and these Terms. Without limiting the foregoing, you must not:
Upload, publish, or distribute content that is unlawful, defamatory, harassing, hateful, obscene (where not protected by law), fraudulent, deceptive, or that infringes intellectual property, privacy, or publicity rights of others;
Use the Service to distribute malware, conduct phishing, send unsolicited bulk communications, or interfere with the integrity or performance of the Service or third-party networks;
Attempt to gain unauthorized access to the Service, other users' accounts, or our systems; probe, scan, or test vulnerabilities except as part of an authorized coordinated disclosure program we approve in writing;
Copy, scrape, crawl, reverse engineer, decompile, or disassemble any part of the Service except to the extent such restrictions are prohibited by applicable law;
Circumvent technical limits (including storage, bandwidth, or API quotas), billing, or access controls, or resell the Service without our written agreement;
Misrepresent your identity or affiliation, or use the Service in a way that could harm our reputation or users.
We may investigate suspected violations and cooperate with law enforcement where required.
"Your Content" means files, text, images, metadata, and other materials you submit to the Service. You retain ownership of Your Content to the extent you already hold rights in it. You are solely responsible for Your Content and for obtaining all rights, consents, and licenses needed for us to provide the Service.
By submitting Your Content, you grant PDF Flip a worldwide, non-exclusive license to host, store, reproduce, process, adapt, display, perform, and distribute Your Content solely as reasonably necessary to operate, secure, improve, and promote the Service (including creating backups, generating previews, and providing support). This license ends when Your Content is deleted from the Service, except that reasonable retention for backups, legal compliance, or dispute resolution may continue for a limited period.
You represent and warrant that Your Content does not violate these Terms or applicable law and that you have the authority to grant the license above. We may remove or restrict access to any content that we reasonably believe violates these Terms or law, or that poses a security or operational risk, with or without notice.
The Service, including its software, design, branding, documentation, and underlying technology, is owned by PDF Flip or its licensors and is protected by copyright, trademark, and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may not use our name, logos, or trademarks without prior written permission except as the Service itself allows (for example, attribution in an embed).
If you send us suggestions, ideas, or feedback ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use and incorporate Feedback without obligation to you.
We respect intellectual property rights. If you believe content on the Service infringes your copyright, please email support@pdf-flip.com with sufficient detail to identify the work, the allegedly infringing material, your contact information, and a statement that you believe in good faith the use is not authorized. We may remove or disable access to material in appropriate cases and may terminate repeat infringers where permitted by law.
Paid plans, features, and prices are described on our website (for example on our Pricing page) and may change from time to time. Fees are charged in the currency and billing cycle shown at checkout. Unless stated otherwise or required by law, fees are non-refundable once the billing period has started. Free trials or promotional offers, if any, are subject to the terms displayed at sign-up.
Subscriptions may renew automatically until you cancel through the account or billing tools we provide, or through our payment provider. You authorize us and our payment processors to charge your payment method on file. If payment fails, we may suspend access until payment succeeds. You are responsible for applicable taxes, duties, and government charges other than our income taxes.
Payments may be processed by third parties (for example Freemius or other processors). Their terms and privacy practices also apply to payment transactions.
The Service may link to or interoperate with third-party websites, analytics, hosting, payment, or authentication services. Those third parties are not under our control; their use is subject to their own terms and policies. We are not responsible for third-party services or content.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT FLIPBOOKS OR OUTPUT WILL MEET YOUR REQUIREMENTS OR PRESERVE EVERY DETAIL OF YOUR SOURCE FILES.
Some jurisdictions do not allow certain disclaimers; in those jurisdictions, disclaimers apply to the maximum extent permitted.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PDF FLIP OR ITS SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (USD $50) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO US. MULTIPLE CLAIMS WILL NOT ENLARGE THIS CAP.
These limitations do not apply where liability cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by gross negligence or willful misconduct, where such law applies).
You will defend, indemnify, and hold harmless PDF Flip and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your use of the Service, your violation of these Terms, or your violation of third-party rights.
You may stop using the Service and close your account at any time, subject to any ongoing obligations (such as payment for a committed period if applicable). We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if continued provision would create security, legal, or operational risk.
Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including licenses to the extent needed to wind down the Service, intellectual property, disclaimers, limitation of liability, indemnification, and governing provisions) will survive.
We may modify these Terms from time to time. We will update the "Last updated" date above and, where changes are material, we will make reasonable efforts to provide additional notice (for example by email or a notice in the Service). If you do not agree to the revised Terms, you must stop using the Service. Continued use after the effective date of changes constitutes acceptance.
These Terms constitute the entire agreement between you and PDF Flip regarding the Service and supersede prior agreements on the same subject. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. The parties are independent contractors.
These Terms are governed by applicable law without regard to conflict-of-law principles that would require application of another jurisdiction's laws, except where mandatory local law (including consumer protection law) gives you rights that cannot be waived by contract. Disputes should first be addressed by contacting us; if not resolved informally, courts or tribunals with competent jurisdiction as determined under applicable law may hear the dispute.
